DaitaFix – Terms & Conditions

1. About DaitaFix

DaitaFix ("DaitaFix", "we", "us", or "our") is an AI visibility platform built for Shopify and WordPress websites. The Service enables merchants to track and improve how their brand is represented across major AI platforms — including ChatGPT (OpenAI), Claude (Anthropic), Gemini (Google), Perplexity, Grok (xAI), and DeepSeek. Core capabilities include daily AI visibility monitoring, competitor rank tracking, Content Theatre (AI-assisted content generation and publishing), and social channel integration to help merchants gain prominence in AI-generated recommendations and agentic commerce.

2. Eligibility & Authority

You represent and warrant that:

• You are at least 18 years old; and
• If you are using the Service on behalf of a business, you have the authority to bind that business to these Terms.

You are responsible for ensuring that all users accessing the Service through your account comply with these Terms.

3. Accounts & Security

• You are responsible for maintaining the confidentiality of your login credentials.
• All activity that occurs under your account is your responsibility.
• You must notify us immediately of any unauthorised access or suspected security breach.
• You agree not to access or use another user's account without permission.

4. Integrations, Data Access & Permissions

4.1 Integrations

By connecting third-party services (including but not limited to Shopify), you authorise DaitaFix to securely access, retrieve, process, and analyse the data made available through those integrations for the purpose of providing the Service.

4.2 Data Ownership

• You retain full ownership of all business data you connect to DaitaFix ("Customer Data").
• DaitaFix does not sell Customer Data.

4.3 Data Use

You grant DaitaFix a limited, non-exclusive, worldwide licence to use Customer Data solely to:

• Provide, operate, and improve the Service;
• Query third-party AI platforms on your behalf to monitor your brand's visibility and ranking;
• Generate AI-assisted content recommendations and, where you have authorised it, publish content to your Shopify store;
• Track competitor visibility and produce comparative ranking data;
• Create anonymised and aggregated data that does not identify you or your business.

4.4 Responsibility for Data

You are solely responsible for:

• The accuracy, legality, and integrity of Customer Data;
• Ensuring you have the right to share such data with DaitaFix;
• Compliance with applicable laws (including data protection and consumer laws).

5. AI Visibility Outputs & No Professional Advice

• The Service uses artificial intelligence and automated querying of third-party AI platforms to generate visibility scores, rank positions, content recommendations, and competitor analyses.
• These outputs are informational only and do not constitute financial, legal, marketing, or professional advice of any kind.
• AI platform responses are generated by independent third parties and may change at any time. DaitaFix does not guarantee that AI platforms will recommend your brand or that visibility improvements will result from use of the Service.
• DaitaFix does not guarantee accuracy, completeness, or specific commercial outcomes from any output generated by the Service.
• All business decisions made using the Service are made at your own discretion and risk.

6. Acceptable Use

You agree not to:

• Misuse the Service or attempt to bypass security measures;
• Reverse engineer, copy, or resell the Service or its outputs;
• Use the Service for unlawful, fraudulent, or deceptive purposes;
• Interfere with or disrupt the integrity or performance of the Service;
• Use automated systems to excessively access the Service without permission.

We reserve the right to suspend or terminate access for violations of this section.

7. Fees, Free Access & Changes

• Certain features or plans may be offered free of charge for a limited time.
• We may introduce paid plans, fees, or usage limits with reasonable notice.
• Fees, if applicable, are non-refundable unless otherwise stated.

8. Intellectual Property

• All intellectual property rights in the Service, including software, models, designs, and branding, are owned by or licensed to DaitaFix.
• These Terms do not grant you ownership of any DaitaFix intellectual property.
• You may use the Service only as expressly permitted under these Terms.

9. Confidentiality

Each party agrees to protect the other's confidential information and to use it only for purposes related to the Service, unless disclosure is required by law.

10. Termination

10.1 By You

You may terminate your account at any time.

10.2 By Us

We may suspend or terminate your access immediately if:

• You violate these Terms;
• Your use poses a security, legal, or operational risk;
• Required by law or third-party platform policies (including Shopify).

10.3 Effect of Termination

• Access to the Service will cease.
• Upon request, Customer Data will be deleted in accordance with our Privacy Policy and applicable law.
• Sections relating to liability, indemnity, intellectual property, and governing law survive termination.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, DaitaFix disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law:

• DaitaFix shall not be liable for any indirect, incidental, consequential, or loss-of-profits damages.
• DaitaFix's total liability arising out of or relating to the Service shall not exceed the amount paid by you to DaitaFix in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms limits liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify and hold harmless DaitaFix from any claims, damages, losses, or expenses arising from:

• Your use of the Service;
• Customer Data you provide;
• Your violation of applicable laws or these Terms.

14. Privacy & Data Protection

Our Privacy Policy forms part of these Terms and explains how we process personal data, including compliance with UK GDPR, EU GDPR (where applicable), and relevant US and UAE data protection laws.

15. Third-Party Services

The Service integrates with and queries third-party platforms and AI providers to deliver its core functionality. These include:

• Shopify — for store integration, data retrieval, and authorised content publishing;
• OpenAI (ChatGPT), Anthropic (Claude), Google (Gemini), Perplexity, xAI (Grok), and DeepSeek — queried on your behalf to monitor brand visibility and generate AI-assisted content;
• Google — for OAuth authentication and, where connected, analytics data;
• Social media platforms — where you optionally connect channels to provide AI platforms with richer brand context.

DaitaFix is not responsible for third-party services, their availability, pricing changes, API modifications, or policy changes imposed by those providers. Your use of the Service is also subject to the applicable terms and policies of those third-party providers.

16. Force Majeure

DaitaFix is not liable for delays or failures caused by events beyond reasonable control, including outages, regulatory changes, or third-party service disruptions.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Service or email. Continued use after changes take effect constitutes acceptance.

18. Governing Law & Jurisdiction

• For users based in the UK or EU: governed by the laws of England & Wales.
• For users based in the UAE: governed by the laws of the Dubai International Financial Centre (DIFC).
• For users based in the United States: governed by the laws of the State of Delaware, excluding conflict-of-law principles.
